Provider Terms of Service

These Provider Terms of Service ("Provider Terms") govern the relationship between Humancare Connect, Inc. ("Humancare Connect," "we," "us," or "our") and licensed healthcare professionals ("Provider," "you") who access and deliver services through the Humancare Connect telehealth platform at humancareconnect.co. By completing our onboarding process and accessing the Platform as a provider, you agree to be bound by these Provider Terms, which supplement and incorporate our general Terms of Service.

Eligibility and Credentialing

To access the Platform as a Provider, you must: hold a valid, unrestricted license or equivalent authorization to practice medicine or your applicable healthcare profession in each jurisdiction (country, state, or province) where you provide services, and satisfy any local credentialing requirements; maintain any registration or authorization required for prescribing activities in the jurisdictions where you practice (for example, DEA registration in the United States); complete Humancare Connect's credentialing and onboarding process, and keep your credentialing information current and accurate; carry professional liability insurance that meets our minimum requirements; and pass background screening as required by us. Humancare Connect may, at its sole discretion, grant access to Providers who do not hold an unrestricted license. You agree to notify us within 5 business days of any disciplinary action, license restriction or revocation, sanction against your prescribing registration, malpractice claim, or criminal investigation involving you. Humancare Connect may suspend or terminate your access at any time if you no longer meet these eligibility requirements.

Independent Contractor Relationship

You are an independent contractor, not an employee, agent, or partner of Humancare Connect. Nothing in these Provider Terms creates an employment relationship. You retain full clinical autonomy and are solely responsible for all clinical decisions. Humancare Connect does not direct, control, or supervise your professional medical judgment or the care you provide to patients.

Scope of Practice and Clinical Standards

You agree to provide services only within the scope of your license and specialty, adhere to evidence-based clinical standards and all applicable state and federal telehealth laws and regulations, establish an appropriate provider-patient relationship before prescribing, maintain complete and accurate patient records as required by law, and refer patients to appropriate in-person care when telehealth is not clinically suitable for their needs.

Prescribing Obligations

When prescribing through the Platform, you must comply with all applicable federal and state prescribing laws, including the Ryan Haight Online Pharmacy Consumer Protection Act. You may not prescribe Schedule II controlled substances via the Platform unless a specific federal exemption is in effect. You are solely responsible for the clinical appropriateness of every prescription you issue through the Platform.

HIPAA and Patient Privacy

You agree to comply with HIPAA and all applicable state privacy laws in connection with your use of the Platform. You will execute a Business Associate Agreement with Humancare Connect where required. You may access patient protected health information (PHI) only for purposes directly related to providing care through the Platform.

Fees and Compensation

Compensation for services rendered through the Platform is set forth in your individually executed fee schedule or compensation addendum. Humancare Connect reserves the right to withhold or offset amounts in the event of patient refunds, chargebacks, or fraud attributable to your services.

Conduct and Platform Rules

You agree to maintain professionalism and patient dignity in all interactions through the Platform, not to solicit patients to receive services outside the Platform in violation of your agreement with us, not to share your login credentials or allow another person to conduct consultations under your account, and to report any suspected fraud, abuse, or patient safety incident to us promptly.

Term and Termination

This agreement commences upon your acceptance and continues until terminated. Either party may terminate with 30 days' written notice. Humancare Connect may terminate immediately upon license revocation, DEA sanction, exclusion from any federal or state healthcare program, material breach of these terms, or conduct that poses a risk to patient safety. Upon termination, your access to the Platform will be deactivated.

Limitation of Liability and Indemnification

Our total liability to you for any claim arising under these Provider Terms shall not exceed the fees paid to you in the three months preceding the claim giving rise to liability. We are not liable for indirect, consequential, incidental, or punitive damages. You agree to indemnify and hold harmless Humancare Connect and its affiliates from all claims, losses, damages, and expenses including reasonable legal fees arising out of your provision of clinical services, breach of these terms, or violation of applicable law.

Governing Law

These Provider Terms are governed by the laws of the State of Delaware. Any dispute shall be resolved by binding arbitration under the rules of the American Arbitration Association, with proceedings held in Delaware.
